Terms & Conditions
1. Introduction
These terms and conditions (“Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Alley. (“Alley”, “we”, “us” or “our”), concerning your access to and use of the Alley mobile application and any related services (together, the “Service”).
By accessing or using the Service, you agree that you have read, understood and agree to be bound by the terms and conditions of this Agreement. If you do not agree to be bound by this Agreement, you may not access or use the Service.
2. Use of the Service
The Service is intended for personal use only. You may use the Service only for lawful purposes and in accordance with this Agreement. You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law or regulation.

To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by Alley, may harm Alley or users of the Service or expose them to liability.

To send, knowingly receive, upload, download, use, or re-use any material which does not comply with the Content Standards (as defined below).

To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation.

To impersonate or attempt to impersonate Alley, an Alley employee, another user, or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing).
3. User Content
The Service may allow you to upload, submit, store, send, receive, or display content, including but not limited to messages, photos, videos, and other materials (collectively, “User Content”).
By submitting User Content on or through the Service, you represent and warrant that you have the right to do so and that your User Content does not violate the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights.
Alley does not claim ownership of any User Content you submit or make available through the Service. You grant to Alley a non-exclusive, fully paid and royalty-free, transferable, sub-licensable, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised.
4. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Alley, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5. Disclaimer of Warranties
The Service is provided “as is” and “as available” without any representations or warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Alley makes no warranty that the Service will be uninterrupted, secure, or error-free.
